IHL is the cooperative
result of a single major international investor who collaborated with Dr.
Bill E. Laney, Richard O. McGuire and Ms. Kendra K. Schmick to combine the
technical, patent protection, and marketing program assets of four separate
companies into a unified business endeavor. As described in the following
paragraphs, the collective AHC technical expertise and marketing experience
of these precedent companies provide IHL with immediate stature in today's
high technology business community, as a truly visionary company with high
regard for mankind, in general, and the earth's environment, in particular.
The HERA Corporation (HERA), a New Mexico corporation, was formed in October
of 1983 on the premise that expanded perlite aggregates were the single preferred
particles to be bonded with patented, self-hardening, inorganic adhesives
(U.S. Patent No. 4,263,048 ) to produce
a wide range of fireproof construction materials. However, by September 1984,
when the first AHC prototype development laboratory became operational, it
was clearly evident that this restricted, unrealistically narrow, approach
represented only the "tip of the iceberg" for AHC product development.
Therefore, based on the results of continuous research during the past 16
years, the initial description of AHC technology has broadened dramatically,
to the point where HERA was obliged to secure new and innovative U.S. Patents,
No. 5,244,726 and No. 5,194,091.
Coincident with these AHC research and patent protection activities, fourteen
AHC construction materials developed by HERA, at a cost to national and international
strategic partners in excess of $20 Million
have been certified by independent laboratories
under NFPA, UBC, ASTM, or ANSI specifications and Japanese Building ACT regulations.
Most important, however, in confirmation of IHL's belief that AHC technology
is a genuine transformational technology having far-reaching implications
for materials science, at least fifty AHC prototypes, in various stages of
development, currently appear worthy of patent protection.
International
Hydrolytics Inc., (IHI), a Nevada corporation, was formed in March of 1995 as
worldwide master licensee for all AHC waste treatment processes that convert
natural and man-made wastes into useful, desirable, and affordable AHC
products. Typical waste stream categories cover all types of recycling sludge,
flyash, cellulose fibers, and shredded plastics. In addition, AHC technology is
eminently suited for numerous environmental remediation applications, e.g.,
cleaning up soils saturated with petrochemicals and other toxic wastes,
hazardous waste encapsulation, and plume containment for leaking underground
storage tanks and piping systems. Finally, IHI is master licensee for these and
other applications of AHC technology, as they relate to foreign governments and
contractors worldwide, exclusive of U. S. government support contractors.
U.S.
Geopolymers Inc. (USGI), a New Mexico corporation, was formed in September of
1998 as master licensee for all AHC applications relating to U.S.
government-funded programs. For example, AHC technology offers numerous alternatives
to, or synergism's with, conventional methods, facilities, and procedures
currently employed at Department of Energy sites, e.g., Hanford, Washington;
Rocky Flats, Colorado; Savannah River, Georgia; etc., to encapsulate/solidify
low- and high-level nuclear wastes for temporary/permanent storage or ground
water pollution abatement. Additional projects with NASA, Department of
Defense, Department of Transportation, and U.S. government contractors involve
AHC applications to space stations, satellite communications, anti-terrorism,
pollution control, military base closure/cleanup, etc.
IHL is organized for efficiency of operations, and overall
management responsibility, by specific functional responsibility, will reside
with the following key personnel: Dr. Bill E. Laney - Special Consultant to
IHL's Board of Directors; Richard O. McGuire - President and Chief Executive
Officer. Mr. James J. (Bud) Shelton – Executive Vice President and Chief Operating
Officer; - Kendra K. Schmick - Corporate Treasurer/Chief Financial Officer; and
Mr. F. Truman Williams - Director, International Hydrolytic Institute (IHI). In
addition, this management team will be advised by Ross B. Perkal, Esq. -
Corporate Secretary/General Counsel, and Samuel M. Freund, Ph.D., Esq., will
serve as international patent law specialist. Finally, IHL has firm commitments
from selected individuals with AHC experience, and these second-level
management personnel will be invaluable to the expeditious growth of a highly
focused, functionally efficient, international
marketing capability. Abbreviated resumes for IHL's

provided.
IHL's
administrative staff is organized to support the
major initial AHC marketing and product development thrusts of the company.
This functional organization is the result of a conscious effort to be simultaneously
effective, but efficient and responsive, to the anticipated rapid growth of
the company.
IHL's
projected marketing functions are organized
to integrate the relevant results of more than 15 years of dedicated AHC technology
and business development with modern advances in high technology marketing,
e.g., advertising on the World Wide Web, video, and multimedia presentations.
However, this organization is also structured to be market-responsive, serving
as IHL's intelligence function to make market needs known for timely and effective
pre-emptive action.
To
the extent that IHL's administration and marketing functions serve as the
supportive and exploitive functions of the company, the IHI will be their
creative center. Therefore, IHI is purposely organized to provide responsive
technical support to marketing-oriented functions
while continuing state-of-the-art advances in AHC technology. In this manner,
IHL's licensees will always enjoy the full benefits of being at the leading
edge of AHC product development and technology improvements.
Finance & Legal
Consistent
with administrative and technical functions, IHL's finance and legal functions
will provide primary support to AHC marketing and business development efforts.
Accordingly, a majority of the time and effort expended by IHL's financial team
will necessarily be directed toward enforcing fiduciary responsibilities of the
company and assisting with international monetary transactions. As to legal
support functions, IHL's early years will be marked by continuous needs for
licenses, joint venture agreements, sales agreements, U.S. Government research
and development contracts, and other legal documents, as well as copyrights and
patent filings for at least 50 new AHC applications.
